Mireye Earth Customer Terms

Contracting company: Mireye Inc. ("Mireye," "we," "us")
Legal notices: founders@mireye.xyz; 853 Commodore Dr, San Bruno, CA 94066, United States

1. Your agreement with Mireye

These Terms govern your use of Mireye Earth, including its website, dashboard, APIs, hosted Model Context Protocol service, documentation, data, reports and related services (the "Services"). They include Schedule A, Licensed Property Data, and the applicable commercial terms in Schedule B or an order form signed by Mireye and you. Our Privacy Policy explains how we handle personal information. A separate data-processing agreement applies only when entered into by the parties or made expressly applicable to your account; nothing here implies that one has already been executed.

By affirmatively accepting these Terms, you enter into this agreement with Mireye. If you accept for an organization, you represent that you have authority to bind that organization; "you" means that organization. Otherwise, "you" means you individually. You must be legally able to enter this agreement. Save a copy of the Terms and any applicable order form.

A signed order form controls a conflict with these Terms only where it specifically identifies the provision it changes. Schedule A controls permitted use of Licensed Property Data. Documentation describes available functionality and limits; it does not expand licensed-data rights or override an agreed price. A supplier agreement to which you are not a party is not incorporated wholesale into your agreement with us.

2. Accounts, credentials and authorized automation

Provide accurate account and billing information and keep it current. Maintain control of your credentials and promptly notify us of suspected compromise. You are responsible for users, applications, contractors and agents you authorize to act through your account, and for their compliance with these Terms. This does not make you responsible for conduct caused by Mireye's own security failure or for an unrelated person's conduct merely because it affects our Services.

You may use the documented API and hosted MCP service through automated applications and AI agents within your permissions, accepted spending limits and these Terms. Ordinary authorized automation is permitted. Access credentials do not grant rights beyond their scopes or permission to redistribute licensed data.

An agent may consume funds already made available under your authorization. Issuing or connecting a credential does not authorize a new subscription, a card charge or auto-recharge. Those require the separate funding authorization described in section 5. Keep your application's spending controls appropriate to its intended work.

We may require verified account information, renewed acceptance of material terms, and new or reauthorized credentials before enabling licensed-data features. Acceptance alone does not expand an existing credential's permissions. Credentials may be revoked or limited for the reasons in section 9.

3. Permitted use and ownership

Subject to these Terms, we grant you a limited, nonexclusive, nontransferable right to access the Services and use their authorized outputs for your property research, location analysis and related business activities. Your personnel and permitted contractors may use them on your behalf within that scope, subject to equivalent restrictions. You may integrate the Services into your internal applications and workflows. Making Licensed Property Data available to your customers, application users or other recipients requires the express authorization described in Schedule A.

Mireye and its licensors retain their rights in the Services and underlying data. You retain your rights in information you submit ("Customer Content"). We receive only the rights in Customer Content reasonably needed to provide, secure and support the Services, comply with law, and carry out your instructions. You represent that you have the rights and permissions necessary for that processing.

You may use outputs for the purposes authorized by these Terms. That permission does not transfer ownership of source records or override source licenses. Combining licensed records with public information, calculations or an AI answer does not remove restrictions from the licensed records. We do not claim exclusive ownership of independently obtained public facts or your independently created material. Third-party open-source or open-data terms, where applicable and identified, continue to govern that material.

Free Fetch provides the location fields described in the published free catalog, subject to capacity and acceptable-use limits. Schedule A applies only to Licensed Property Data, not to independently sourced information merely because it appears in the same response. A field's price, endpoint or storage location does not determine its licensing status. We identify licensed-data features or fields in the applicable catalog, documentation or output metadata.

4. Use restrictions and security

You must not:

Additional restrictions on Licensed Property Data appear in Schedule A. We may apply reasonable account-level limits to cumulative extraction and access, including activity across credentials and linked accounts used to circumvent controls. A high volume of otherwise permitted requests is not, by itself, permission to assemble or redistribute a prohibited dataset.

We may examine usage and relevant technical records to secure the Services and investigate reasonably suspected misuse. On a reasonably specific request, provide information necessary to establish compliance for the affected use, such as recipient categories, controls and deletion confirmation. This provision does not give us unrestricted access to your systems, privileged material or unrelated confidential information. We will protect compliance information under section 7 and use proportionate measures.

5. Prices, balances and payment authorization

Dollar billing. Prices and usage balances are denominated in U.S. dollars. You owe only the charges authorized under the applicable commercial terms. Taxes are additional where applicable and disclosed; you are responsible for taxes on your purchase other than taxes on Mireye's income. We may use payment processors to collect authorized charges.

Prices and operations. The applicable rate card or order form identifies the chargeable unit. The rate recorded when we admit an operation governs that operation. Where an operation can perform multiple paid units, the stated maximum and any accepted dollar cap govern admission. We charge completed billable units as defined in Schedule B, release unused reservations and identify actual charges. Ordinary internal work included in a paid operation does not generate a second charge. Replaying the same supported operation identifier or retrieving its existing saved result does not create a second usage charge; requesting a new operation may do so.

Three distinct balances. The one-time welcome or launch allowance is promotional and does not expire. A monthly plan allowance is available during its paid service period, with the limited one-period rollover described in Schedule B. Separately purchased top-ups do not expire and remain available after a subscription ends. These are service-use balances, not interest-bearing deposits, transferable currency or a general payment account. This description does not waive rights applicable to prepaid funds. We show each balance and any applicable expiry. Usage consumes expiring carried allowance first, then the current period's allowance, then promotional funds, then purchased funds.

Welcome and launch offer. Eligible new accounts receive a one-time $10 promotional allowance that does not expire. At the new-product launch, each existing account receives a fresh, non-expiring $10 promotional allowance, replacing its legacy standard free allowance. This is a one-time launch reset, including for accounts that previously used or exhausted a free allowance; it is not a recurring refill. An account receives either its new-account grant or its existing-account launch grant, not both. We show the grant and remaining balance in the dashboard. No payment card is required, and the offer does not automatically convert into a paid plan. New keys, agents, reconnects and later authorizations do not duplicate the allowance. We may withhold or reverse grants obtained through duplicate-account abuse, without confiscating unrelated purchased funds. Exhaustion does not itself stop eligible free Fetch.

Subscriptions. Before you subscribe, we disclose the recurring amount, billing interval, included allowance, rollover cap and expiry, applicable rates, cancellation method and any trial conditions. Your separate affirmative subscription authorization permits those recurring charges until you cancel. We provide a retainable confirmation. Cancel online through the billing controls; we record cancellation when submitted, stop future renewals, and keep the already-paid plan available through its paid period unless you request earlier account closure or lawful suspension applies. No plan allowance carries into an unpaid period: any remaining current or carried plan allowance expires when the final paid period ends. Non-expiring promotional and purchased funds remain available under the pay-as-you-go terms. Except as stated below or required by law, cancellation does not refund an already-started paid plan period.

Auto-recharge. Auto-recharge is optional and separately authorized, with a minimum purchase of $10 per recharge. Before activation, we show its trigger balance, purchase amount and purchase cap. The purchase cap limits automatic purchases; a separate usage cap limits paid consumption. You can disable future auto-recharges online. Disabling it does not reverse a purchase already submitted under your authorization or completed usage. A pending or failed payment does not make funds available. A recharge does not change your plan or its applicable rates. Cancelling a subscription and disabling auto-recharge are separate actions; the cancellation screen must show any remaining active auto-recharge and provide a direct way to disable it. Account closure stops both future subscription renewal and auto-recharge.

Corrections and refunds. Contact the billing contact shown in your dashboard promptly about an error; this request does not shorten statutory dispute rights. We correct duplicate or erroneous charges. Usage adjustments restore the original funding type and do not turn promotional allowances into cash. If restoring an expired plan allowance would provide no meaningful remedy for our error, we provide a reasonable usable replacement or other appropriate remedy; a cash overcharge is not resolved solely with expired service allowances. Refunds of unused purchased funds are reviewed on request, subject to applicable law, fraud checks and amounts legitimately due. These Terms do not promise unrestricted cash withdrawal. Approved payment refunds normally return to the original payment method. We do not waive your lawful billing-dispute or chargeback rights.

Service ending. If we permanently close your access or discontinue the paid Services so that you cannot use purchased funds, we return the unused purchased balance, less undisputed amounts properly due or amounts finally determined to be due. An alleged supplier loss is not an automatic wallet debit or forfeiture. If we end a paid plan for convenience or because we can no longer provide its materially promised service, we also refund the unused plan allowance and any separate prepaid fee for the unavailable future service, without duplicate recovery. Other remedies required by law remain available.

Changes. New rates apply prospectively. We provide existing customers at least 30 days' notice of an increase to their recurring or usage rates and an opportunity to cancel renewal or stop paid use before increased charges begin. Where law requires a notice within a specific window, we provide an additional timely notice if necessary; where renewed consent is required, we obtain it. No increase applies retroactively to an admitted operation. Voluntary plan changes require disclosure and authorization of their price, effective date and allowance treatment. Nonpayment may pause paid work; it does not alone require a positive balance for otherwise eligible free Fetch.

6. AI, outputs and appropriate reliance

AI answers and source data may be incomplete, inaccurate, outdated or unsuitable for a particular decision. Availability and field coverage vary. A source's delivery or ingestion date is not a guarantee that every underlying fact was recently verified. A parcel boundary is not a legal survey, and an estimated attribute is not a measured fact. Independently verify facts material to land acquisition, financing, engineering, permitting, safety or other consequential decisions.

The Services do not replace qualified professional advice or required inspections, surveys and public-record checks. We do not warrant that AI outputs are unique, accurate or noninfringing merely because they were generated. These statements do not excuse a specific express commitment in an applicable signed order form or remove rights that cannot lawfully be excluded.

We do not use your queries or Customer Content to train AI models. We process and retain information as described in the Privacy Policy and any applicable data-processing agreement; this is not a promise of zero logging or zero retention. When we choose processors, we remain responsible for our own contractual obligations concerning them. Your independently chosen AI providers must meet Schedule A when they receive Licensed Property Data.

7. Confidentiality and privacy

Each party must protect the other's information that is marked confidential or should reasonably be understood as confidential, use it only to perform or exercise rights under this agreement, and disclose it only to personnel and permitted service providers who need it and are bound to compatible confidentiality duties. Each party must use reasonable administrative, technical and physical safeguards. Licensed Property Data receives the additional protection in Schedule A.

Confidentiality does not apply to information the receiving party can establish was, at disclosure, public without a breach, already lawfully known, rightfully received without a confidentiality duty, or independently developed without using the confidential information. A confidentiality exception does not enlarge a data license. If disclosure is legally required, give advance notice where lawful, disclose only what is required and reasonably cooperate in seeking protection.

These confidentiality duties last five years after disclosure, and for trade secrets as long as applicable law protects them. Privacy obligations and deletion duties apply independently. We may retain necessary account, assent, billing and security records under our documented retention practices and applicable law; that does not grant either party a right to retain otherwise restricted raw data. Contact details for rights requests are provided in the Privacy Policy.

8. Availability and changes to the Services

We may improve or change the Services and maintain reasonable, disclosed capacity and usage limits. Unless a signed order form states otherwise, no service-level agreement, unlimited throughput, universal data coverage or guaranteed refresh interval is included. We will give reasonable advance notice of material API deprecations or reductions in purchased functionality where practicable, explain migration options, and preserve the payment protections in section 5.

We may make urgent changes without advance notice when reasonably needed for security, law, abuse prevention or loss of applicable data rights. Where lawful and practicable, we explain the affected functionality and available alternatives. Schedule A governs withdrawal and replacement of Licensed Property Data. We do not promise continued access to data we no longer have a right to provide.

9. Suspension and termination

You may cancel paid renewals or close your account using the available account controls or support contact. We may suspend affected access when reasonably necessary to address material breach, compromised credentials, unauthorized data use, nonpayment, legal requirements, or loss of rights needed to provide the affected service. We may terminate for an unresolved material breach, a breach that cannot reasonably be cured, serious unlawful or abusive conduct, or because we discontinue the Services.

Where lawful and practicable, we give the reason, a way to contact us, and a reasonable opportunity to resolve a remediable problem. Immediate restriction is permitted where delay would risk data rights, security, other customers or legal compliance. We aim to limit a restriction to affected access when that adequately addresses the issue; this does not prevent account-wide action where necessary. Suspension or termination does not automatically forfeit purchased funds. Section 5 governs balances, refunds and future charges.

When access ends, stop using the Services and comply with Schedule A's data-use and deletion requirements. Payment obligations already incurred, applicable confidentiality and data restrictions, accrued claims, liability provisions and provisions intended to survive continue for their stated purpose and duration. Neither cancellation nor possession of a saved output creates new data-retention rights.

10. Claims caused by customer misuse

Third-party claims. You will defend Mireye against third-party claims alleging facts that, if established, constitute: (a) your or your authorized users' material breach of Schedule A or the access restrictions in section 4; (b) your unlawful use of the Services; or (c) infringement caused by Customer Content you supplied. You will indemnify Mireye for reasonable defense costs, amounts finally awarded and settlements approved under this section to the extent directly attributable to that covered conduct. Your final responsibility excludes claims and costs to the extent caused by Mireye's breach, wrongful conduct, failure to obtain rights needed for a use Mireye expressly authorized, or modifications or uses outside your authorization attributable to Mireye. The parties will reasonably allocate mixed-claim defense costs as the facts develop; Mireye will reimburse amounts you advanced that are finally allocated to its excluded responsibility.

Direct supplier losses. Separately, if your material breach of Schedule A directly causes Mireye to become legally obligated to pay a data provider, you will reimburse the reasonable, documented amount and necessary reasonable response costs to that extent. A demand, allegation or invoice alone does not establish your liability. Mireye must substantiate the breach, causation, obligation and amount, mitigate loss and allow you a reasonable opportunity to contest them. Recoverable supplier amounts must be undisputed, finally determined, or settled with your approval under the following procedure. This provision excludes Mireye's own breach, licensing failure or wrongful conduct; unrelated license fees; speculative lost business value; voluntarily assumed penalties or expanded obligations; and amounts that cannot lawfully be shifted to you. It is not permission to charge your card or debit your wallet for a disputed claim.

Procedure. Mireye will give reasonably prompt notice and supporting information; delayed notice reduces your obligations only to the extent it materially prejudices the defense. For an ordinary covered third-party claim, you may control the defense with competent counsel, while Mireye may participate at its own expense. For proceedings directly concerning Mireye's own supplier agreement, Mireye retains the control reasonably necessary to protect that agreement, gives you meaningful participation and consultation, and does not enlarge your reimbursement obligations by acting alone. The parties will cooperate reasonably. Neither may settle a covered claim in a way that admits the other's fault, waives its rights or imposes nonmonetary obligations on it without its written consent. A settlement for which reimbursement is sought requires your consent, which must not be unreasonably withheld. Reasonable urgent protective measures remain permitted. Loss must be apportioned to actual responsibility; the same loss cannot be recovered twice.

These attributable indemnity and reimbursement obligations are not limited by the ordinary monetary cap in section 11 and may exceed the fees you paid. The causation limits, exclusions and procedures in this section still apply.

11. Warranties and limitations of liability

Except for express commitments in these Terms, Schedule B or a signed order form and rights that cannot lawfully be excluded, the Services and data are provided as is and as available. To the extent permitted by law, Mireye disclaims implied warranties of merchantability, fitness for a particular purpose, title and noninfringement, and does not warrant uninterrupted, error-free, complete or current results.

To the extent permitted by law, neither party is liable to the other for indirect, special, incidental, exemplary or consequential damages, including lost profits, lost business opportunities or loss of goodwill arising from this agreement. This exclusion does not eliminate reasonable documented amounts expressly recoverable under section 10 merely because they originate in a third-party claim or supplier assessment.

Each party's aggregate monetary liability arising from this agreement, for all related and unrelated claims together, is limited to the greater of $100 or the service fees paid or payable by you during the twelve months before the first event giving rise to liability. "Service fees" includes paid subscription fees and purchased top-up value actually consumed for Services, without counting the same funds twice; it excludes unspent top-up deposits and promotional grants.

The preceding damages exclusion and cap do not limit: your agreed unpaid service charges; your attributable obligations under section 10; either party's fraud, willful misconduct or gross negligence to the extent such limits are prohibited by applicable law; or liability that cannot otherwise lawfully be limited. The monetary cap does not restrict lawful equitable relief for unauthorized data use, infringement or misuse of confidential information. Required refunds of unused funds, corrections of erroneous charges, and Mireye's repayment under section 10 of customer-advanced defense costs finally allocated to Mireye's excluded responsibility are payment obligations outside both the damages exclusion and cap. This does not otherwise uncap Mireye's liability. Nothing excludes mandatory consumer rights or other nonwaivable remedies.

12. Disputes, notices and general terms

Contact the legal-notice address above with a dispute so that we can attempt to resolve it. This request does not prevent either party from seeking urgent relief or exercising a nonwaivable right, and it does not impose an undisclosed shortened claim deadline.

Subject to mandatory applicable law, this agreement is governed by California law, excluding its conflict-of-law rules. The parties submit to the exclusive jurisdiction of the state courts in San Mateo County, California, and, where federal jurisdiction exists, the federal courts for the Northern District of California. Any mandatory consumer forum or remedy remains available. These Terms do not impose mandatory arbitration or a class-action waiver.

We may send service and legal notices to the verified account contact and through the dashboard, with additional delivery when law requires it. Keep that contact current. You can retain a copy of the accepted Terms and payment confirmations. Where law requires separate consent to electronic delivery, we obtain that consent and provide the required alternatives and disclosures.

We will notify you of material changes to these Terms and their proposed effective date. Changes do not rewrite completed charges, retroactively remove purchased value or waive accrued claims. We obtain renewed affirmative acceptance before enabling affected licensed-data rights under materially changed data terms. If you decline during a paid period, we will preserve affected access under the previous accepted terms through the paid period where our rights and applicable law permit it. Where we cannot, you may end the affected paid service and receive a refund of its unused plan allowance and any separate prepaid fee for unavailable future service, without duplicate recovery. Unused purchased funds are not forfeited and can be refunded if you close the affected account. Nonmaterial editorial corrections do not by themselves require new acceptance.

You may not assign this agreement or transfer licensed-data access without our written consent, except where applicable law prevents that restriction. Mireye may assign this agreement in connection with a merger, reorganization or sale of the relevant business if the successor assumes its obligations and has the necessary data rights; otherwise the affected access and balances are handled under sections 5 and 9. Neither party is liable for delay caused by circumstances beyond its reasonable control, except accrued payment obligations, duties to protect information and refunds otherwise due. An invalid provision is limited or severed to the extent lawful without invalidating the rest. Failure to enforce a provision is not a waiver. These Terms and applicable signed order forms are the entire agreement concerning the Services. No third party receives an independent enforcement right under this agreement merely because it supplies data or technology. This does not eliminate rights it has independently under law.

Schedule A — Licensed Property Data

A1. Scope and useful permitted access

"Licensed Property Data" means parcel records, ownership information, property attributes, boundaries and other source information Mireye supplies under third-party licenses imposing confidentiality or restricted end-user distribution obligations, including raw, substantially similar or extractable copies in an output. Its status follows the actual source and content, even if a label is missing. It excludes information independently obtained from unrelated sources and material independently supplied under public or open-data terms merely because it concerns the same location; those terms govern that material separately.

Mireye identifies licensed-data features or fields in the catalog, documentation or output metadata. If our labeling is missing or materially misleading, we will give reasonable corrective notice and instructions. Section 10 does not shift to you losses attributable to reasonable reliance on our misleading classification before you had notice and a reasonable opportunity to correct the affected use. A labeling error cannot grant rights we do not hold or authorize continued misuse after correction.

As an authorized end user, you may access Licensed Property Data through the Mireye features made available to you, including documented API and hosted MCP calls, property summaries, curated reports, lead outputs and permitted downloads, for your permitted property research and related business activities. Outputs may contain source fields without modification. Pay-as-you-go access and subscription access have the same use restrictions unless an express written authorization states otherwise.

An export is a delivery method, not a general right to resell, publish or redistribute its contents. Permission to use Mireye does not by itself permit you to expose Licensed Property Data through your own customer-facing application, API, data feed or downloadable dataset. That use requires a written authorization from Mireye describing the recipients and permitted distribution, within the rights Mireye holds. Any authorized recipients must be subject to enforceable confidentiality and use restrictions consistent with this Schedule. Do not promise those rights to recipients before authorization.

A2. Restricted uses

Except for a use expressly authorized by Mireye in writing within its applicable data rights, you must not:

An API, MCP tool, payment, throughput limit or successful technical response does not authorize a prohibited use. Ordinary automated use within the expressly permitted scope remains allowed.

A3. Confidentiality and protection

Treat Licensed Property Data as confidential licensed information, subject to the at-disclosure exceptions and continuing restrictions in section 7. Restrict access to authorized people and expressly permitted processors who need it for the permitted purpose and are bound to compatible restrictions. Protect credentials, downloads, caches and stored copies with reasonable administrative, technical and physical safeguards. Promptly tell Mireye of unauthorized access, disclosure or use you discover and reasonably cooperate in containing it. An exception to confidentiality does not enlarge permitted use or redistribution rights.

A4. AI and third-party processors

Do not use Licensed Property Data directly or indirectly to customize, train, fine-tune or improve an AI model or product without Mireye's express written authorization within its applicable data rights. No internal-model exception held by Mireye is automatically transferred to you.

You may use authorized inference and agent workflows only in configurations consistent with this Schedule. Before sending Licensed Property Data to a third-party AI provider, ensure that its binding terms and applicable configuration are consistent with these restrictions, exclude your interactions from training, and prohibit the provider's use of outputs generated in connection with that processing. A no-training prompt or toggle alone does not establish that all these conditions are met. Do not submit the data to a provider if you cannot satisfy them.

You remain responsible for providers and settings you choose; Mireye remains responsible for its own chosen providers and obligations. Sending data to a processor does not create additional publishing, model-training or retention rights.

A5. Refresh, withdrawal and ending use

Mireye may replace, correct, restrict or withdraw Licensed Property Data to reflect source updates, applicable law or data rights. Comply promptly with notices to replace, stop using or delete affected data. Stored responses, reports and AI memory do not carry a perpetual raw-data license.

When your authorized access to the affected data ends, the applicable rights end, or Mireye directs removal to comply with those rights, stop affected use and delete raw, substantially similar and extractable copies within your possession or control, including exports, reports, caches, vector stores and copies held by your processors. Take reasonable steps to enforce the same obligations against recipients you authorized, notify us if a recipient refuses, and provide reasonable deletion confirmation on request. Do not retain an operational backup that defeats the deletion requirement.

Where law requires retention despite a deletion instruction, retain only what that law requires, notify Mireye where lawful, isolate it from operational use and access, protect it under this Schedule and delete it when the requirement ends. This does not create a general backup or archival exception.

Mireye may expressly identify particular Mireye-created outputs that may be retained where its applicable rights permit retention and the outputs contain no raw or substantially similar licensed data and do not allow its extraction. Non-extractability alone does not grant a retention right in customer-created derivatives. Any such permission must be expressly authorized within Mireye's applicable rights. Including data in an AI answer or report does not automatically make it eligible for continued use.

The applicable ownership, confidentiality, restricted-use and deletion provisions survive for as long as their subject matter requires, subject to section 7's stated confidentiality period and applicable law.

Schedule B — Commercial terms

B1. Rates and chargeable units

OperationPay as you goBuildGrowth
Monthly recurring payment$0$49$199
Included monthly service allowance—$49$199
Eligible Fetch; on-demand indexing$0$0$0
Enrich, per successful standard parcel operation$0.020$0.018$0.015
Search, per bounded query, up to 100 thin matches$0.200$0.180$0.150
Ask or Ask-site, per completed answer$0.10$0.10$0.10
Proximity, per successful directed driving calculation$0.020$0.018$0.015

The monthly payment is fully available as that period's included allowance; it is not an additional platform fee. Build's Enrich, Search and driving rates are 10% below pay-as-you-go rates; Growth's are 25% below. Ask and Ask-site remain $0.10 on every plan. While a paid plan is active, its rates apply regardless of whether usage draws from included, carried, promotional or purchased funds. Exhausting an allowance or adding funds does not change the plan: Build stays Build and Growth stays Growth. If the paid plan ends, remaining non-expiring funds use the then-applicable pay-as-you-go rates. Failed renewal does not grant another allowance.

At each paid renewal, unused allowance issued for the immediately preceding period may carry into one additional paid billing period, up to the included allowance of the upcoming plan. Previously carried allowance expires and cannot carry again. The new period's allowance is then added separately. Any portion above the carry cap expires; carried funds expire at the end of that additional period. For example, $29 remaining from a Build period plus the next $49 paid allowance gives $78 available; any unused portion of that carried $29 expires at the following period boundary. No plan allowance carries into an unpaid period. We disclose the upcoming carry cap and any resulting expiry before you confirm a downgrade. Promotional and purchased funds are not subject to this rollover cap.

Enrich charges once for a successfully matched and delivered standard parcel result, regardless of selecting one supported field or many. Missing optional fields do not by themselves invalidate an otherwise successful result. An unmatched or ambiguous result requiring resolution is not a successful parcel operation. Selected free context is included at no extra charge.

Search charges for a completed bounded query, including a successful zero-match result. Supported stored-data matching and bounded qualification are included in that unit; examined candidates are not separate billable units. The standard result uses the published basic identity fields. If you explicitly enable enrichment, the charge is Search plus the applicable Enrich rate for each successfully enriched returned parcel. There is no ten-field threshold or silent switch to enrichment. At pay-as-you-go rates, one Search with ten successful Enrich results costs $0.40. We disclose and respect the operation's maximum charge and any accepted cap. Technical failures do not incur the failed unit's charge. In a partially completed operation, only completed units lawfully delivered or made available to your currently authorized account for retrieval are billable. Finishing computation while withholding the result for missing permission is not completed delivery.

Ask and Ask-site charge for a completed answer lawfully delivered or made available to your currently authorized account, including recovery of a saved answer after a connection interruption. An error or refusal that supplies no completed answer is not billable. Ordinary included data work is not charged again. Retrieving the original answer does not incur another answer charge.

Saved results remain retrievable for the retention period disclosed for the operation, subject to continuing access rights and required source withdrawal. We disclose that period before execution and return its expiry with the saved result. This is not a perpetual storage or raw-data license. If we fail to deliver or provide the promised authorized retrieval for an operation, we correct the affected charge or provide another appropriate remedy; expiry after a properly provided retrieval period does not itself make completed work free.

Driving charges per successful directed origin-to-destination calculation, not per HTTP request or summary row. Three origins and ten destinations can mean thirty calculations, or $0.60 at the pay-as-you-go rate. Unresolved locations, unroutable pairs and provider failures do not incur a driving charge. The documented calculation count, maximum and any accepted cap apply before execution.

Free utilities and supporting operations are identified in the catalog. Free access remains subject to published capacity, geographic coverage and permitted-use limits. A free indexing request does not guarantee that a source can lawfully or technically be indexed or that a requested field will be built by a particular date. No paid build charge is imposed for accepted on-demand indexing under this offer.

B2. Purchases, plan changes and existing balances

The minimum manual top-up and automatic recharge is $10. Purchased top-ups do not expire, and buying them does not change your plan. They use your active plan's rates, including after its monthly allowance is exhausted. Auto-recharge uses the amount, threshold and cap you separately authorize; it is not enabled by default.

Voluntary upgrades and downgrades take effect at the next renewal. We show the new recurring payment, rates, included allowance and effective date before you confirm. Scheduling a change does not immediately charge you, change the current period's rates, grant another allowance, reset the period or extend carried funds. At renewal, the new allowance and any permitted carry become available only after the required payment is confirmed. A downgrade limits new carry to the upcoming plan's allowance; we disclose that cap and which funds will expire, and show the current estimate before confirmation. Actual carry depends on usage before renewal. Cancellation takes effect at the end of the paid period and permits no carry into an unpaid period. Failed payment does not activate higher rate entitlement or new funds. A separate written offer may provide different terms if disclosed and affirmatively accepted.

At launch, existing accounts start a new product-usage quota period under the new limits and receive the one-time $10 launch allowance described in section 5. The reset replaces the standard legacy free allowance; it does not add repeated $10 grants for key replacement or MCP reconnection. Purchased value and any separately promised paid entitlements are migrated according to the terms and purchase history that created them. Completed charges, configured spending caps, payment authorizations and usage counted against financial purchase/spend caps are preserved. Account identities, billing history, terms requirements and security restrictions remain in place. Historical payment records remain available for reconciliation.

Our [Privacy Policy](https://mireye.xyz/privacy) explains how we handle personal information.

## 4. Use restrictions and security

You must not:

- Use the Services unlawfully, infringe another person's rights, or submit content you lack permission to provide.
- Defeat authentication, permissions, spending controls, rate limits or other safeguards; conceal an account's identity to evade them; or create multiple accounts or credentials to obtain repeated welcome allowances or avoid restrictions.
- Sell or redistribute credentials, share them with unauthorized recipients, enable unapproved third-party access, or use accounts as a service bureau for access outside the permitted scope. Secure delegation to your authorized internal applications and personnel remains permitted under section 2.
- Introduce malicious code, disrupt the Services, or access another customer's account, results or private information without authorization.
- Misrepresent source data, remove required proprietary notices, or claim a survey, title, engineering, appraisal, legal, credit-reporting or other professional determination that the Services do not provide.

## 5. Prices, balances and payment authorization

**Dollar billing.** Prices and usage balances are denominated in U.S. dollars. You owe only the charges authorized under the applicable commercial terms. Taxes are additional where applicable and disclosed; you are responsible for taxes on your purchase other than taxes on Mireye's income. We may use payment processors to collect authorized charges.

**Prices and operations.** The applicable rate card or order form identifies the chargeable unit.

**Three distinct balances.** The one-time welcome or launch allowance is promotional and does not expire.

**Welcome and launch offer.** Eligible new accounts receive a one-time $10 promotional allowance that does not expire.

**Subscriptions.** Before you subscribe, we disclose the recurring amount, billing interval, included allowance, rollover cap and expiry, applicable rates, cancellation method and any trial conditions.

**Auto-recharge.** Auto-recharge is optional and separately authorized, with a minimum purchase of $10 per recharge.

**Corrections and refunds.** Contact the billing contact shown in your dashboard promptly about an error; this request does not shorten statutory dispute rights.

**Service ending.** If we permanently close your access or discontinue the paid Services so that you cannot use purchased funds, we return the unused purchased balance, less undisputed amounts properly due or amounts finally determined to be due.

**Changes.** New rates apply prospectively.

## 10. Claims caused by customer misuse

**Third-party claims.** You will defend Mireye against third-party claims alleging facts that, if established, constitute: (a) your or your authorized users' material breach of Schedule A or the access restrictions in section 4; (b) your unlawful use of the Services; or (c) infringement caused by Customer Content you supplied.

**Direct supplier losses.** Separately, if your material breach of Schedule A directly causes Mireye to become legally obligated to pay a data provider, you will reimburse the reasonable, documented amount and necessary reasonable response costs to that extent.

**Procedure.** Mireye will give reasonably prompt notice and supporting information; delayed notice reduces your obligations only to the extent it materially prejudices the defense.

**These attributable indemnity and reimbursement obligations are not limited by the ordinary monetary cap in section 11 and may exceed the fees you paid.** The causation limits, exclusions and procedures in this section still apply.

## 11. Warranties and limitations of liability

Except for express commitments in these Terms, Schedule B or a signed order form and rights that cannot lawfully be excluded, the Services and data are provided **as is and as available**.

Each party's aggregate monetary liability arising from this agreement, for all related and unrelated claims together, is limited to the greater of **$100 or the service fees paid or payable by you during the twelve months before the first event giving rise to liability**.

## Schedule A — Licensed Property Data

### A2. Restricted uses

Except for a use expressly authorized by Mireye in writing within its applicable data rights, you must not:

- Sell, resell, sublicense, publish, distribute or otherwise make Licensed Property Data available to third parties outside the permitted end-user and recipient scope.
- Use it to create, offer or sell a website, product or service that may compete with the products or services of the applicable third-party data provider, including a substitute dataset, property-data feed or substantially equivalent data-access service.
- Systematically extract, pool or aggregate it to reconstruct a substantial portion of an underlying licensed dataset, obtain prohibited substantial geometry collections, or evade controls through multiple keys, accounts, agents, queries or destinations.
- Record or publish it to a blockchain or other distributed ledger.
- Remove or alter required source, copyright, trademark or other proprietary notices, or represent that you own the underlying licensed records.

An API, MCP tool, payment, throughput limit or successful technical response does not authorize a prohibited use. Ordinary automated use within the expressly permitted scope remains allowed.

## Schedule B — Commercial terms

### B1. Rates and chargeable units

| Operation | Pay as you go | Build | Growth |
|---|---:|---:|---:|
| Monthly recurring payment | $0 | $49 | $199 |
| Included monthly service allowance | — | $49 | $199 |
| Eligible Fetch; on-demand indexing | $0 | $0 | $0 |
| Enrich, per successful standard parcel operation | $0.020 | $0.018 | $0.015 |
| Search, per bounded query, up to 100 thin matches | $0.200 | $0.180 | $0.150 |
| Ask or Ask-site, per completed answer | $0.10 | $0.10 | $0.10 |
| Proximity, per successful directed driving calculation | $0.020 | $0.018 | $0.015 |

At each paid renewal, unused allowance issued for the immediately preceding period may carry into **one additional paid billing period**, up to the included allowance of the upcoming plan.
